This Seller Agreement (“Agreement”) is between CoPower Technologies (operating as SmolBusiness) and you, the seller. By registering as a seller on SmolBusiness, you agree to this Agreement in addition to our Terms of Service and Privacy Policy.
01: What SmolBusiness Provides
SmolBusiness gives you software tools to:
- Create a professional online storefront linked to your Instagram bio
- List and manage products with variants, images, and inventory tracking
- Show your own UPI details to your customers so they can pay you directly
- Receive and manage customer orders and fulfillment
- Access sales analytics and customer insights
- Optionally send your customers WhatsApp order-status updates, using SmolBusiness's own WhatsApp number, metered by platform credits, subject to eligibility
02: Seller Obligations
As a seller, you agree to:
- Provide accurate product descriptions, images, pricing, and stock levels
- Keep inventory and pricing updated to prevent overselling or misleading customers
- Fulfill orders promptly and ship within the timeframe communicated to buyers
- Handle customer support, returns, and complaints professionally and in a timely manner
- Comply with applicable Indian laws including the Consumer Protection Act, Legal Metrology Act, GST obligations, and any sector-specific regulations
- Use a customer's phone number, email, or other contact details obtained through the platform only to fulfill and communicate about that customer's own order — never for unsolicited marketing, list-building, or any other purpose, and always in compliance with the Digital Personal Data Protection Act 2023, applicable TRAI regulations, and WhatsApp's Business Policy
- Ensure your store name, branding, Instagram handle, and listings do not infringe any third party's trademark or other intellectual property rights
- Never post, purchase, or incentivize fake, incentivized, or otherwise manipulated reviews or ratings on your store
03: Restricted Products
You may not list or sell:
- Illegal, banned, or regulated products under Indian law
- Counterfeit goods or products infringing third-party intellectual property
- Weapons, explosives, or dangerous substances
- Adult or obscene content
- Tobacco, alcohol, or prescription drugs
- Products making false health or medical claims
04: Subscription & Payments
SmolBusiness is billed as a software subscription on the plan you choose, with a free tier available. We charge no commission on your sales and take no cut of any order.
You collect payments directly from your own customers using your own UPI ID. SmolBusiness does not collect, hold, route, or settle these payments — the money goes straight from your customer to you, and never passes through SmolBusiness. There are no payouts or settlements for us to make, because we never hold your funds.
If you enable Razorpay checkout, you do so on your own Razorpay merchant account under Razorpay's own terms and KYC requirements. SmolBusiness is not a party to, and has no liability for, Razorpay's processing, settlement, or any dispute arising from it.
Displayed subscription fees are exclusive of applicable taxes (including GST) unless stated otherwise; taxes are added at checkout as required by law. Paid plans renew automatically at the end of each billing cycle via your saved payment mandate, unless cancelled before the renewal date; you may cancel anytime, and cancellation takes effect at the end of the current paid period with no further charges. Platform credits have no cash value, are non-transferable, and are governed by the terms of your chosen plan.
05: Refunds & Disputes
You are the sole point of contact for customer disputes, defective products, cancellations, and return requests, and you handle any refunds directly with your customer. Because customers pay you directly and SmolBusiness never holds their money, all refunds are issued by you, not by SmolBusiness. You are expected to resolve these in good faith within a reasonable timeframe. SmolBusiness bears no responsibility for order fulfillment, delivery, product quality, or any return, refund, or cancellation in any way.
06: Seller Content
By uploading product images, descriptions, logos, or other content to SmolBusiness, you grant us a non-exclusive, royalty-free license to use, display, and reproduce that content for platform operations, marketing, and promotional purposes. You represent that you own or have the necessary rights to all content you upload.
07: Tax & Compliance
You are solely responsible for:
- GST registration and filing (where applicable based on your annual turnover)
- Income tax obligations on earnings from the platform
- Product compliance with applicable safety, labeling, and quality standards
- Any required business licenses or registrations in your jurisdiction
SmolBusiness may provide transaction summaries to assist with your filings but is not responsible for your tax compliance.
08: Indemnification
You agree to indemnify and hold SmolBusiness and CoPower Technologies harmless from any claim, liability, loss, damage, or expense (including reasonable legal fees) arising from or related to: your products or listings; your order fulfillment, delivery, returns, refunds, or cancellations; any dispute between you and a customer; your breach of this Agreement or applicable law; or any fraudulent, deceptive, or negligent conduct on your part. This obligation survives suspension or termination of your account.
09: Suspension & Termination
SmolBusiness may suspend or permanently terminate your seller account, without prior notice, for:
- Fraudulent transactions, payment abuse, or being reported for fraud by a customer
- Excessive customer disputes or chargebacks
- Listing or selling restricted products
- Non-compliance with this Agreement or applicable law
- Repeated failure to fulfill orders or to respond to customer queries about refunds, cancellations, or order fulfillment
Because we never hold your sales proceeds, there are no funds for us to withhold; suspension affects only your access to the platform software.
Where reasonably possible, you may request an export of your store, product, and order data before your account is closed. After termination, we retain data only as described in our Privacy Policy's Retention section; you lose access to the platform and its tools.
10: Limitation of Liability
SmolBusiness is a software platform — we are not a party to, and do not facilitate, the payment for any seller-buyer transaction. We are not a marketplace and not a payment aggregator. We do not verify, endorse, or guarantee you or the quality, safety, legality, or authenticity of your products. We are not responsible for product quality, shipping delays, payments, or disputes between sellers and customers. Customers are advised to independently verify your legitimacy and transact with you at their own discretion and trust; SmolBusiness bears no responsibility for the outcome of any such transaction. Our total liability for any claim arising under this Agreement is capped at the subscription fees you paid us in the 12 months preceding the claim.
Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including internet or hosting outages, power failures, natural disasters, or government action.
11: General Provisions
- Amendments. We may revise this Agreement from time to time. Material changes will be notified via email or an in-app notice; continued use of your seller account after the effective date constitutes acceptance.
- Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions continue in full force and effect.
- No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Entire Agreement. This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and SmolBusiness regarding your seller account.
- Assignment. We may assign or transfer this Agreement in connection with a merger, acquisition, or sale of assets. You may not assign your rights under this Agreement without our written consent.
- Notices. Legal notices to us must be sent to support@smolbusiness.in or our registered address (Section 13). Notices to you will be sent to the email or phone number on your account and are deemed received 24 hours after sending.
12: Governing Law & Dispute Resolution
This Agreement is governed by the laws of India. Any dispute arising out of or relating to this Agreement shall first be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by SmolBusiness, seated in Nagpur, Maharashtra, conducted in English. The arbitration award shall be final and binding. Subject to the above, courts in Nagpur, Maharashtra shall have exclusive jurisdiction. This arbitration clause applies only to disputes between you and SmolBusiness under this Agreement, and does not apply to, or limit the rights of, your customers.
