This Seller Agreement (“Agreement”) is between CoPower Technologies (operating as SmolBusiness) and you, the seller. By registering as a seller on SmolBusiness, you agree to this Agreement in addition to our Terms of Service and Privacy Policy.
01: What SmolBusiness Provides
SmolBusiness gives you tools to:
- Create a professional online storefront linked to your Instagram bio
- List and manage products with variants, images, and inventory tracking
- Accept payments via UPI, debit/credit cards, net banking, and wallets through Cashfree Payments
- Receive and manage customer orders and fulfillment
- Access sales analytics and customer insights
02: Seller Obligations
As a seller, you agree to:
- Provide accurate product descriptions, images, pricing, and stock levels
- Keep inventory and pricing updated to prevent overselling or misleading customers
- Fulfill orders promptly and ship within the timeframe communicated to buyers
- Handle customer support, returns, and complaints professionally and in a timely manner
- Comply with applicable Indian laws including the Consumer Protection Act, Legal Metrology Act, GST obligations, and any sector-specific regulations
03: Restricted Products
You may not list or sell:
- Illegal, banned, or regulated products under Indian law
- Counterfeit goods or products infringing third-party intellectual property
- Weapons, explosives, or dangerous substances
- Adult or obscene content
- Tobacco, alcohol, or prescription drugs
- Products making false health or medical claims
04: Fees & Settlements
SmolBusiness charges a flat 5% platform fee on each order. There are no monthly fees, setup charges, or per-listing fees.
Payments are processed by Cashfree Payments. After deducting the platform fee, applicable payment gateway charges, refunds, and any chargebacks, the net amount is settled to your registered bank account or UPI ID. Payout timelines depend on Cashfree's settlement cycle and your account verification status.
05: Refunds & Disputes
You are the primary point of contact for customer disputes, defective products, cancellations, and return requests. You are expected to resolve these in good faith within a reasonable timeframe.
SmolBusiness may intervene in disputes where a seller is unresponsive or acting against buyer interests, and may issue refunds or credits at its discretion to maintain platform trust.
06: Seller Content
By uploading product images, descriptions, logos, or other content to SmolBusiness, you grant us a non-exclusive, royalty-free license to use, display, and reproduce that content for platform operations, marketing, and promotional purposes. You represent that you own or have the necessary rights to all content you upload.
07: Tax & Compliance
You are solely responsible for:
- GST registration and filing (where applicable based on your annual turnover)
- Income tax obligations on earnings from the platform
- Product compliance with applicable safety, labeling, and quality standards
- Any required business licenses or registrations in your jurisdiction
SmolBusiness may provide transaction summaries to assist with your filings but is not responsible for your tax compliance.
08: Suspension & Termination
SmolBusiness may suspend or permanently terminate your seller account for:
- Fraudulent transactions or payment abuse
- Excessive customer disputes or chargebacks
- Listing or selling restricted products
- Non-compliance with this Agreement or applicable law
- Repeated failure to fulfill orders or respond to customers
Pending legitimate settlements will be processed after any hold periods required for dispute resolution.
09: Limitation of Liability
SmolBusiness is a technology platform and marketplace facilitator — we are not a party to seller-buyer transactions. We are not responsible for product quality, shipping delays, or disputes between sellers and customers. Our liability is limited to the platform fees collected in the relevant transaction period.
10: Governing Law
This Agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Nagpur, Maharashtra.
